(Prohibition of Holding Additional Posts)
Article 38. An officer shall not be an officer of any organization engaged in profit making or any commercial enterprise. However, this provision shall not apply in the case when said officer has obtained approval of the Minister of Transport.
(Restriction of Qualification of Representative)
Article 39. The Chairman and the Vice-Chairman of the Board of Directors shall not have the qualification of representative with regard to any matters in which the benefit is contrary to the interests of the Organization and the Chairman or the Vice-Chairman of the Board of Directors. In such a case, the Auditor will be the representative.
(Council)
Article 40. A Council will be set up in the Organization as an organ to examine the budget and business program in each business year, and for other important matters concerning the management of the Organization.
2. The Council will comprise of not more than 20 councilors.
(Councilors)
Article 41. The Councilors will be appointed by the Directors upon approval of the Minister of Transport, being selected from among the members of the staff of the provider of the airport, the personnel of the local public body which has invested in the Organization, and any persons with the expertise and experience relating to countermeasures for the prevention of disturbance arising from aircraft noise.
2. The provisions under Article 35 (Term of Officer) and Article 37 paragraph 2 (approval for dismissal of Director) shall be applied accordingly to the Councilors.
(Appointment of Personnel)
Article 42. The personnel of the Organization will be appointed by the Chairman of the Board of Directors.
(Character of Officers and Personnel as Public Officials)
Article 43. All officers and personnel shall be regarded as public officers in accordance with the Laws and Ordinances with respect to the applicability of the penal provisions of Criminal Law (Law No. 45, 1907) et. al.
